Tom is a founding partner of Stanley, Esrey and Buckley and leads SEB’s Corporate & Securities Practice. Tom practices in corporate, securities, real estate and other aspects of business law.
Tom’s corporate practice includes advising individuals and private and publicly held companies regarding business formation, corporate governance matters, joint ventures, strategic alliances, mergers and acquisitions, corporate finance transactions and a wide variety of other corporate matters.
Tom’s real estate practice focuses on real estate ownership structures, including drafting and negotiating agreements to document debt and equity investments in real estate, as well as real estate finance transactions, including initial financing through both debt and equity, assumption and defeasance transactions. Tom also represents developers and real estate investors in raising capital for real estate projects.
Tom’s securities practice includes private offerings and advising individuals and privately held companies regarding compliance with federal and state securities laws.
Prior to founding Stanley, Esrey & Buckley, LLP, Tom was a partner in a prominent regional firm specializing in corporate, securities and real estate transactions, and corporate counsel for a privately-held multi-national corporation.
Tom is admitted to practice in the states of Georgia and Ohio (inactive).
